Acceptance of These Terms

These Terms of Service (these "Terms") set out the rules for using Wimba. Wimba is an AI creative studio that lets you turn a prompt into video, images, voice-over, and long-form narration and scripts — or build them hands-on inside a full studio — all through your web browser.

In these Terms, "Wimba," "we," "us," and "our" refer to the Wimba service.

These Terms cover the Wimba marketing site at https://wimba.ai, the Wimba web application at https://app.wimba.ai, and every feature, tool, and piece of functionality we make available through them. We refer to all of this together as the "Services."

You agree to these Terms when you take an affirmative action that we identify as acceptance, such as selecting an Accept control when these Terms are presented to you. Merely viewing this page does not by itself record acceptance. If any part of these Terms is unclear to you, or you are not willing to agree to them, do not accept them or use the Services.

Throughout these Terms, "you" and "your" refer to you as a user of the Services. If you are using the Services for a business or other organization, "you" also means that organization, and you promise that (a) you are authorized to act for it and to commit it to these Terms, and (b) you are accepting these Terms on its behalf.

Eligibility

You must be at least eighteen (18) years old to use the Services. By using the Services, you represent that you meet this age requirement.

Accounts, Subscriptions, and Your Inputs and Outputs

Your Input and Your Output

When you use the Services, you can enter, submit, and upload material — prompts, text, images, audio, and similar content ("User Input") — and you can instruct the Services to generate new content from that material ("User Output"). We do not assert ownership over your User Input or your User Output, and we place no limits on how you use your User Output, including for commercial projects. To the extent we would otherwise hold any rights in your User Output, we assign all of those rights to you.

Keep in mind that AI generation is not deterministic in the sense of yielding one-of-a-kind results. Two users who supply comparable instructions can each receive User Output that looks alike, and outputs generated for others may end up similar to — or the same as — yours. This is simply how the underlying models behave, and we cannot promise that any User Output will be unique to you.

Your User Input, your User Output, and anything else you submit or make available through the Services are together called "Your Content." You are responsible for Your Content, including making sure it complies with the law, does not infringe anyone's rights, and does not breach these Terms.

Creating and Protecting Your Account

Some features require you to register for or connect an account (an "Account"). Wimba uses our authentication provider to handle sign-up and sign-in, including the option to sign in with Google. You agree to give accurate, complete, and current information and to keep it up to date. You are responsible for everything that happens under your Account and for keeping your login credentials private. If you think your Account or credentials may have been accessed by someone else, contact us right away at support@wimba.ai. If we have previously removed or banned you, you may not open a new Account unless we agree in writing.

Credits and Paid Plans

The Services run on credits. You can buy prepaid credits and, separately, subscribe to a recurring monthly plan. Wimba currently offers the following plans: Free, Starter, Plus, Pro, and Ultra. Credits and plan allowances are consumed as you generate video, images, voice-over, narration, and other outputs.

Your use of Wimba is governed by these service Terms with Wimba. Your purchase and payment are made under a separate contract with Dodo Payments Inc., which acts as the Merchant of Record and legal seller for the transaction. Dodo Payments Inc. is a Delaware corporation, Delaware file number 3886337. Dodo states its address as 8 The Green, Suite A, Dover, Kent County, Delaware 19901, United States. Its buyer terms are available at https://dodopayments.com/archive/buyer-terms.

Dodo handles payment collection, invoices, chargebacks, and payment-side refunds under its buyer terms, while Wimba remains responsible for providing the Services and handling service complaints. Charges may appear under Dodo's name or the descriptor shown at checkout, on the receipt, or on your statement.

Prices and charges are denominated in U.S. dollars (USD) for Indonesian and non-Indonesian users. The amount debited in your own currency may differ because your card issuer or payment provider may apply conversion rates and fees. Taxes, including VAT where applicable, are calculated and displayed at checkout according to applicable law; these Terms do not hard-code a tax rate. If a payment fails, we may suspend or end your access. For recurring plans, you authorize Dodo to keep your payment method on file and charge it on each billing cycle. You confirm that you are permitted to use the payment method you provide. An order is not complete until payment has been received in full. We may add, change, or retire plans, credit packages, and prices at any time, giving reasonable notice where required.

Upgrading a Plan

If you move to a higher plan tier partway through a billing period, you authorize a charge covering the price difference for the remainder of that period.

Renewals and Cancellation

Paid subscriptions renew automatically at the interval you selected (monthly if no other interval is stated), at the rates in effect at renewal, and are charged at the start of each new period. To prevent a renewal charge, cancel before your renewal date from within the Wimba studio: open the credits (cr) pill → Manage subscription → Cancel subscription. Cancellation stops future renewals; it does not retroactively refund the current period.

Subscriptions Are Non-Refundable

Except where these Terms expressly say otherwise, all subscription and credit payments are non-refundable, and we do not provide credits or refunds for unused time or unused credits within a period. If you cancel, you keep access until the end of the period you have already paid for. If we suspend or close your Account because you breached these Terms, your access ends immediately and no refund is due.

Your Content

License You Grant to Us

So that we can run the Services for you, you grant us a license to access, use, host, cache, store, copy, transmit, display, publish, distribute, and modify (for technical purposes) Your Content, only as needed to operate, maintain, improve, promote, and deliver the Services. This license is worldwide, royalty-free, transferable, and sublicensable, and it lasts for as long as Your Content is stored with us. It includes the right to extend these permissions to the vendors and partners we work with to provide the Services, and to disclose Your Content where we are legally required to do so.

We may, at our discretion and without notice, review, screen, edit, remove, or delete Your Content at any time and for any reason. You confirm that you hold all rights needed to grant the license above and that Your Content does not include third-party copyrighted material used without permission. We do not claim ownership of Your Content.

Copyright Complaints — DMCA Notices

If you believe that content made available through the Services infringes a copyright you own, you can notify us under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512(c)). To be actionable, your notice should give us: (i) enough detail to identify the copyrighted work you say has been infringed; (ii) enough detail to locate the allegedly infringing material within the Services; (iii) a way to reach you, such as an email address or phone number; (iv) your statement that you believe in good faith the disputed use has not been authorized by the copyright owner, its agent, or the law; (v) your statement, made under penalty of perjury, that the details you have provided are accurate and that you are the copyright owner or are authorized to act on the owner's behalf; and (vi) your signature, whether handwritten or electronic. Please send copyright notices to support@wimba.ai. We may restrict, disable, or close the accounts of users who infringe repeatedly. While we do not pre-screen everything posted, we may rely on tools and providers to identify and take down unlawful material. If material of yours was taken down, you may have the option to file a counter-notification under 17 U.S.C. § 512(g)(2)–(3).

The Rights We Grant You

License to Use the Services

We grant you a personal, revocable, non-exclusive, non-transferable, non-assignable, and non-sublicensable license to access and use the software, content, and materials that make up the Services, solely for using the Services as these Terms allow. Access may be paused or interrupted for maintenance, technical problems, or other reasons. Your Content is not part of the "Services."

What You May Not Do

When using the Services, you may not:

  • copy, distribute, reproduce, decompile, or reverse-engineer our proprietary technology, except for ordinary browser caching or where we expressly permit it;
  • create, upload, distribute, request, or offer sexual, nudity, pornographic, adult-intimacy, NSFW, or adult-content material or services, including material involving consenting adults;
  • create, upload, distribute, request, or offer pirated material, or material or services that infringe copyright, trademarks, image rights, privacy rights, or other intellectual-property rights;
  • use the Services for harassment, bullying, fraud, deceptive political campaigning, or to facilitate crime or violence;
  • frame, mirror, or build an unauthorized interface or API to the Services;
  • remove or obscure any proprietary or legal notices;
  • use bots, automated scripts, cheats, or unauthorized modifications;
  • overload, disrupt, or interfere with the Services or the systems that support them;
  • attempt to gain unauthorized access to any part of the Services or related systems;
  • bypass any technical protection or access control;
  • scrape, harvest, or mine data through automated means;
  • upload or transmit viruses, malware, or other harmful code;
  • break any applicable law; or
  • present User Output in a misleading way — for example, passing off AI-generated material as entirely human-created, or as a genuine photograph or recording of a real event.

If you publish or share User Output, we encourage you to be transparent that it was generated with AI.

Beta Features

From time to time we may make experimental, preview, or beta features ("Beta Features") available. Beta Features are provided "as is," may contain bugs, may change or be withdrawn, and could affect your content or data. Using them is optional and entirely at your own risk. If a Beta Feature is marked confidential, you agree to keep it confidential.

Ownership

Ownership of the Services

The Services — including their design, look and feel, text, graphics, logos, and content — are protected by copyright, trademark, and other intellectual property laws. Wimba and its licensors own all right, title, and interest in and to the Services. You agree not to act in any way inconsistent with that ownership.

Trademarks

"Wimba," the Wimba logo, and related names, logos, designs, and slogans are trademarks of Wimba or its licensors. Other names and marks appearing in the Services belong to their respective owners.

Feedback

If you send us suggestions, ideas, or other feedback about the Services ("Feedback"), that Feedback becomes our sole and exclusive property, and we may use it for any purpose without any obligation or compensation to you. You assign to us all rights in your Feedback and, where such assignment is not permitted, you waive any moral rights in it.

Third-Party Materials

The Services may display, link to, or otherwise incorporate content, websites, or resources supplied by third parties ("Third-Party Materials"). We provide these only for convenience. We do not control, endorse, or take responsibility for Third-Party Materials, and your use of them is at your own risk and subject to the third party's own terms.

Disclaimers, Limitation of Liability, and Indemnification

Disclaimers

Your access to and use of the Services is at your own risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Wimba and its parent companies, affiliates, officers, directors, employees, agents, partners, and licensors (the "Wimba Parties") disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Wimba Parties make no warranty that the Services will be complete, accurate, secure, reliable, available, uninterrupted, or error-free; that any defect will be corrected; that the Services are compatible with your hardware or software; or that Your Content will be stored without loss. Some jurisdictions do not allow the exclusion of certain implied warranties, so parts of this section may not apply to you. The Wimba Parties are not responsible for content that you or others create, upload, or store, and you may encounter content you find offensive, unlawful, or inappropriate.

Limitation of Liability

To the fullest extent permitted by law, the Wimba Parties will not be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages — including lost profits, lost data, loss of use, or business interruption — regardless of how they arise or the theory of liability. In all cases, the total combined liability of the Wimba Parties will not exceed the greater of one hundred U.S. dollars (US$100.00) or the total amount you paid us for the Services giving rise to the claim during the six (6) months before the event that led to the liability.

Indemnification

You agree to defend, indemnify, and hold the Wimba Parties harmless from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your breach of these Terms or of any law; your infringement of any third party's rights; your misuse of the Services; Your Content; or your negligent acts or willful misconduct.

Dispute Resolution

If a dispute arises between you and Wimba, please first contact us at support@wimba.ai. You and Wimba agree to make a good-faith effort to resolve the dispute informally, allowing a reasonable period (typically 30 to 60 days) for both sides to respond and work toward a resolution. Most concerns can be settled quickly this way.

If a dispute cannot be resolved informally, it will be handled in accordance with applicable law.

Additional Provisions

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and for material changes we will make reasonable efforts to notify you — for example, by email or a prominent notice in the Services. If you keep using the Services after changes take effect, you accept the updated Terms.

Termination

If you breach these Terms, all licenses we granted you end automatically. We may suspend, disable, or delete your Account and your access to the Services, with or without notice, for any reason or no reason. Any provisions of these Terms that by their nature should survive termination will continue to apply.

Injunctive Relief

You agree that breaking these Terms could cause us harm that money alone cannot adequately repair. In that situation, we may ask a court for an injunction or other equitable remedy, and you agree we should not be required to post a bond or to demonstrate that we suffered actual loss in order to obtain it.

Government End Users

The Services qualify as commercial products/commercial computer software. Any acquisition or use by, or on behalf of, the United States Government is subject only to the commercial-item rights and restrictions permitted under the applicable federal procurement regulations, and no greater rights are conveyed.

Export Compliance

You agree not to use or export the Services in violation of applicable export-control laws, including to embargoed countries or to individuals or entities on any restricted-party list, and to comply with all applicable export laws and regulations.

General

These Terms, together with any documents they reference, are the entire agreement between you and Wimba regarding the Services and supersede any earlier agreements on the subject. If any provision is found unenforceable, the rest remain in effect. We may assign these Terms; you may not assign them without our consent. A failure to enforce any provision is not a waiver of it. These Terms are governed by applicable law.
